Part 2: Payments, Shipping, Export, Installation, Warranty & Force Majeure

16. Payment Terms

All commercial transactions between Fire Control Protection Systems (“FCPS”) and the Customer shall be governed by the payment terms specified in the applicable quotation, sales agreement, invoice or Purchase Order.

Unless otherwise agreed in writing:

  • Payment terms shall be as stated in the approved quotation.
  • Advance payment may be required before procurement, manufacturing, shipment or commencement of services.
  • Fire Control Protection Systems reserves the right to suspend production, shipment or services until payment obligations have been fulfilled.
  • Bank charges incurred outside the United Arab Emirates shall be borne by the Customer unless otherwise agreed.

Payments shall be made using the currency specified in the quotation or invoice.

Accepted currencies may include AED, USD or other mutually agreed currencies.

17. Taxes

Prices quoted by Fire Control Protection Systems may be exclusive of applicable taxes unless expressly stated otherwise.

Where applicable, taxes including Value Added Tax (VAT), customs duties, import duties, withholding taxes and other governmental charges shall be payable by the Customer in accordance with the laws of the relevant jurisdiction.

The Customer shall remain responsible for complying with all tax obligations in their respective country.

18. Quotations and Commercial Validity

All quotations issued by Fire Control Protection Systems are valid only for the validity period specified within the quotation.

Unless otherwise agreed:

  • Currency fluctuations may affect pricing.
  • Manufacturer price revisions may affect pricing.

The Customer shall submit a valid Purchase Order referencing the approved quotation.

23. Export Compliance

Customers purchasing products outside the United Arab Emirates are solely responsible for ensuring compliance with:

  • Licensing obligations;
  • Trade sanctions;

24. Customs Duties

Unless otherwise agreed in writing, the Customer shall be responsible for:

  • Demurrage;

25. Transfer of Risk

Customers should inspect all deliveries immediately upon receipt.

Any visible shortages or transit damage should be reported:

  • To the carrier immediately; and
  • To Fire Control Protection Systems without unreasonable delay.

Failure to notify within a reasonable period may affect the Customer’s rights to claim against the carrier.

26. Installation Services

Installation services are currently available within GCC countries, subject to project acceptance and resource availability.

Installation scope shall be governed exclusively by:

  • Approved quotation;
  • Contract documents;
  • Project specifications;
  • Applicable authority requirements.

Any work outside the agreed scope may result in additional charges.

27. Testing & Commissioning

Where included within the agreed scope, Fire Control Protection Systems may provide:

Completion of testing or commissioning does not replace any approvals required from local Civil Defence authorities, consultants, engineers or regulatory bodies.

Obtaining statutory approvals remains the responsibility of the project owner unless expressly agreed otherwise.

28. Annual Maintenance Contracts (AMC)

Fire Control Protection Systems may offer Annual Maintenance Contracts (AMC) subject to separate commercial agreements.

AMC services shall be governed by their respective contract and may include:

  • Functional testing;
  • Scheduled servicing;

Emergency attendance, spare parts and consumables shall be provided only where expressly included within the AMC agreement.

29. Warranty
